These Terms of Service govern your use of ProRoute.ai and any consulting services provided by the service provider, operating as ProRoute.ai, based in California, United States. By accessing this site or engaging these services, you agree to these terms.

Services

ProRoute.ai provides independent AI consulting services, including but not limited to: workflow analysis, AI strategy, process automation design, implementation, and technical advisory. The specific scope, deliverables, timeline, and fees for any engagement will be defined in a separate written agreement or statement of work.

Independent Contractor

ProRoute.ai operates as an independent contractor. Nothing in these terms or in any engagement creates an employment relationship, partnership, joint venture, or agency between you and the service provider.

Intellectual Property

Unless otherwise agreed in writing:

• Work product created specifically for you during an engagement becomes your property upon receipt of full payment.
• Pre-existing tools, frameworks, methodologies, and code libraries used remain the property of the service provider. You receive a license to use them as part of the delivered solution.
• General knowledge, skills, and experience gained during an engagement remain with the service provider and may be applied to future work.

Confidentiality

All business information, processes, and data you share will be treated as confidential and will not be disclosed to third parties without your consent, except as required by law. The general nature of an engagement may be referenced (e.g., "worked with a logistics company on document automation") without identifying you, unless you request otherwise.

Payment

Payment terms are defined per engagement. Invoices are due within the timeframe specified. Work may be paused on overdue accounts.

No Guarantee of Results

AI and automation projects involve inherent uncertainty. Best professional judgment and effort will be applied, but specific business outcomes, cost savings, or performance metrics cannot be guaranteed. Recommendations are based on information available at the time of engagement.

Limitation of Liability

To the maximum extent permitted by California law, ProRoute.ai's liability for any claim arising from services rendered is limited to the fees paid for the specific engagement giving rise to the claim. The service provider is not liable for indirect, incidental, or consequential damages.

Governing Law

These terms are governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts of California.

Changes

These terms may be updated from time to time. Continued use of this site or engagement of services after changes constitutes acceptance of the updated terms.
